These Terms & Conditions (the “Terms”) govern your access to and use of the websites operated by SoC.one Inc. (“SoC.one,” “we,” “us,” or “our”), including soc.one and any pages that link to these Terms (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Statement. If you do not agree, do not use the Site.

These Terms apply to the public Site. Products, hosted services, software, evaluation programs, professional services, partner programs, customer portals, developer tools, and other offerings provided by SoC.one may be subject to separate written agreements. If a separate agreement conflicts with these Terms with respect to an offering covered by that agreement, the separate agreement controls.

1. Eligibility and authority

You must be legally capable of entering into a binding agreement to use the Site. If you access or use the Site on behalf of a company, government agency, university, or other organization, you represent that you have authority to bind that organization to these Terms, and references to “you” include that organization where applicable.

2. Permitted use of the Site

Subject to these Terms, SoC.one grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful informational, evaluation, and business purposes.

You may not use the Site to violate applicable law or the rights of others; interfere with, disrupt, damage, or impair the Site or related systems; bypass or attempt to bypass security or access controls; probe, scan, or test vulnerabilities without written authorization; introduce malware or harmful code; impersonate another person or misrepresent an affiliation; use automated means to access the Site in a manner that imposes an unreasonable burden on our systems; or attempt to obtain non-public information or access that SoC.one has not intentionally made available to you.

3. Intellectual property

The Site, including its design, text, graphics, photographs, videos, diagrams, user interfaces, logos, trademarks, trade dress, documentation, software, source materials, and other content made available by SoC.one (collectively, “Site Content”), is owned by or licensed to SoC.one and is protected by copyright, trademark, patent, trade secret, and other intellectual-property and unfair-competition laws.

Except for the limited right to use the Site under these Terms, no license or other right in Site Content or SoC.one intellectual property is granted to you by implication, estoppel, or otherwise. You may not reproduce, modify, distribute, publicly display, publicly perform, publish, license, sell, create derivative works from, remove proprietary notices from, or commercially exploit Site Content without our prior written permission, except to the extent such restriction is prohibited by applicable law.

SoC.one, SimS, Dronava, HoloWorks, Dashroid, SimX, and associated names, logos, product names, and branding may be trademarks or service marks of SoC.one. Third-party names and marks appearing on the Site belong to their respective owners. Their appearance does not by itself imply sponsorship, endorsement, or affiliation.

4. Product, technical, and roadmap information

The Site may describe products, software, architectures, specifications, performance characteristics, integrations, demonstrations, prototypes, roadmaps, planned features, availability targets, or other technical and commercial information. Such information is provided for general informational purposes and may be incomplete, illustrative, preliminary, or subject to change without notice.

Statements regarding future products, features, releases, capabilities, compatibility, performance, or timing are not commitments or guarantees. Purchasing, licensing, development, deployment, and investment decisions should not be based solely on Site Content. Binding obligations concerning SoC.one products or services arise only from an applicable written agreement executed by authorized parties.

5. Software, downloads, demonstrations, and evaluation materials

If the Site provides access to software, source code, binaries, models, datasets, documentation, SDKs, APIs, demonstrations, downloads, or evaluation materials, those materials may be governed by additional license terms or notices presented with them. You must comply with those terms. If no separate license is provided, your access to such materials is limited to viewing or using them for the purpose for which SoC.one made them available and does not grant a right to redistribute, sublicense, reverse engineer, or commercially exploit them except as permitted by law.

6. Third-party products, services, and links

The Site may identify, interoperate with, demonstrate, discuss, or link to third-party software, hardware, platforms, services, standards, open-source projects, or websites. Third-party offerings are controlled by their respective providers and may be subject to separate terms, licenses, privacy policies, export restrictions, and fees.

SoC.one does not control and is not responsible for third-party sites, content, availability, security, accuracy, products, or practices. References or links are provided for convenience and technical context and do not constitute an endorsement unless expressly stated.

7. Communications and submissions

If you contact SoC.one through the Site or by email, you are responsible for the information you choose to provide. Do not submit confidential, export-controlled, proprietary, security-sensitive, or third-party information unless an appropriate written agreement is in place and the submission method has been authorized for that purpose.

Unless otherwise agreed in writing, feedback, suggestions, ideas, or recommendations you voluntarily provide concerning the Site or SoC.one products may be used by SoC.one without restriction or obligation to you, provided that this provision does not transfer ownership of your pre-existing intellectual property.

8. Confidentiality

Public Site Content is not confidential. Nothing on the Site creates a confidentiality obligation between you and SoC.one. Confidential information exchanged in connection with a business relationship is governed only by an applicable nondisclosure agreement or other written agreement.

9. Privacy

Our collection and handling of personal information associated with the Site is described in our Privacy Statement, which is incorporated into these Terms by reference. By using the Site, you acknowledge the practices described there.

10. Security

You may not attempt to compromise the confidentiality, integrity, availability, or security of the Site or any SoC.one system. If you believe you have identified a security vulnerability, please report it to SoC.one rather than exploiting or publicly disclosing it. Unauthorized security testing is prohibited unless expressly approved by SoC.one in writing.

11. Export controls and sanctions

You are responsible for complying with applicable export-control, economic-sanctions, and import laws when accessing or using materials made available through the Site. You may not use the Site or obtain Site Content in violation of applicable U.S. export controls or sanctions, or for prohibited end uses or by prohibited persons where such restrictions apply.

12. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. SOC.ONE DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SoC.one does not warrant that the Site will be uninterrupted, secure, error-free, free of harmful components, or that Site Content will be complete, current, or suitable for your particular purpose. Technical information and examples may contain errors and should be independently validated before use in production, safety-critical, security-critical, or regulated environments.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOC.ONE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOC.ONE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PUBLIC SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). The foregoing limitations do not apply to liability that cannot lawfully be excluded or limited.

14. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SoC.one and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, judgments, losses, and reasonable costs and expenses arising out of your unlawful use of the Site, your material violation of these Terms, or your infringement or violation of another person's rights. SoC.one may control the defense of a matter subject to indemnification, and you agree to reasonably cooperate with that defense.

15. Suspension and termination

SoC.one may restrict, suspend, or terminate access to all or part of the Site when reasonably necessary to protect the Site, SoC.one, its users, or third parties; to comply with law; to address suspected misuse; or to discontinue the Site or a feature. Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute terms.

16. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Except where applicable law requires otherwise, any dispute arising out of or relating to these Terms or the public Site will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you and SoC.one consent to personal jurisdiction and venue in those courts.

Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief to protect intellectual-property, confidential-information, or security interests.

17. Changes to these Terms

We may revise these Terms from time to time to reflect changes to the Site, our practices, or applicable requirements. The “Last updated” date identifies the latest revision. Unless otherwise stated, revised Terms become effective when posted. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms.

18. General terms

These Terms and the Privacy Statement constitute the agreement between you and SoC.one concerning your use of the public Site, except where a separate written agreement applies. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in effect. SoC.one's failure to enforce a provision is not a waiver. You may not assign these Terms without SoC.one's prior written consent; SoC.one may assign them in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

Headings are for convenience only. The words “including” and “include” mean “including without limitation.” These Terms do not create a partnership, joint venture, employment, franchise, or agency relationship between you and SoC.one.
